A binding farm-out brings Chinese capital into Equatorial Guinea’s open-door licensing pipeline.
Antler Global, an associated entity of Europa Oil & Gas Plc, has secured a binding farm-out agreement with Fuhai (Beijing) Energy Limited to transfer a 40% stake in the offshore EG-08 production sharing contract (PSC).
Deal timeline
The deal was first announced on 1 September 2026. The parties have since extended the completion longstop date to 30 October 2026. A longstop date is the date by which the conditions to completion must be satisfied. Extending it gives the parties more time to meet those conditions. The public information we have does not detail which conditions remain open.
How EG-08 was awarded
EG-08 was awarded to Antler Global as part of the country’s open-door licensing process, which sits alongside the government’s push for new exploration and the 24 blocks in its 2026 round. In October we covered the first three blocks signed under that round (read the EGRonda analysis).
What this means for clients
For investors, this is a signal of Chinese capital entering Equatorial Guinea’s licensing pipeline, alongside the established operators already active in the country.
For counsel and companies structuring farm-ins in Equatorial Guinea, the practical lesson is about completion mechanics. Deal planning should allow for the conditions that must be met before completion, the consents and assignment steps involved, and a realistic longstop date, because this transaction needed an extension. Parties on both sides should also consider what happens if the longstop date passes without completion. Buyers weighing entry into the remaining 2026 round acreage may see farm-ins as a faster route than a direct award, and should diligence the underlying PSC accordingly. Lechêne, Iñiguez & Partners can support farm-in diligence and transaction structuring.
