The PEL 83 deal closed on 4 September, consolidating TotalEnergies’ position across both flagship Orange Basin discoveries.

TotalEnergies has completed its acquisition of operatorship in PEL 83, home to the Mopane discovery in Namibia’s Orange Basin. The deal was signed with Galp in December 2025, approved by Namibia’s Ministry of Mines and Energy in July, and completed on 4 September.

Licence structure

Post-completion, PEL 83 is held by TotalEnergies (40%, operator), Galp (40%), NAMCOR (10%) and Custos (10%).

The transaction consolidates TotalEnergies’ position alongside its operatorship of the nearby Venus discovery, where a Final Investment Decision is targeted for Q4 2026. The FID is contingent on keeping combined capex and opex under US$20 per barrel of oil equivalent, a threshold the company has been explicit about as the deciding factor for sanctioning the project.

What this means for clients

For operators and investors in the Orange Basin, the deal shows licence consolidation moving in parallel with FID timelines. A single operator now controls both of Namibia’s flagship discoveries, which should simplify coordination on shared infrastructure decisions ahead of a commercial development phase.

For counsel structuring similar transactions, the timeline is a useful benchmark: roughly seven months from signing (December 2025) to ministerial approval (July), then about two further months to completion. Parties to Namibian farm-in and farm-out deals should plan for a similar window.
